Please read these terms carefully before using our services.

1. Agreement to Terms

By accessing or using PropertyVAs (operated by SLA Deals LLC, a Georgia Limited Liability Company) website and virtual assistant services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access our Services. References to "PropertyVAs," "we," "us," or "our" refer to SLA Deals LLC.

2. Description of Services

PropertyVAs provides virtual assistant services specifically designed for real estate professionals. Our services include but are not limited to:

  • Lead generation and management
  • Transaction coordination
  • Marketing support and content creation
  • Administrative assistance
  • Database management
  • Customer relationship management

3. User Accounts

Account Creation

To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in any activity that we determine is harmful to our Services or other users.

4. Service Plans and Payment

Subscription Plans

Our Services are offered through various subscription plans as detailed on our pricing page. By selecting a plan, you agree to pay the associated fees. All fees are in U.S. Dollars and processed through Stripe, our secure payment processor.

Billing and Renewal

  • Subscriptions are billed in advance on a monthly basis
  • Subscriptions automatically renew on the same day each month unless cancelled at least 14 days prior to the renewal date
  • You may cancel your subscription at any time through the customer portal or by contacting us
  • Cancellations take effect at the end of the current billing period
  • No refunds are provided for partial months, unused hours, or early cancellation
  • Failed payments may result in immediate service suspension

Refund Policy

Due to the nature of our service delivery, all sales are final. We do not offer refunds except:

  • Within the first 7 days of your initial subscription if you have not utilized any services
  • When required by applicable law
  • At PropertyVAs's sole discretion for extraordinary circumstances

Price Changes

We reserve the right to modify our pricing. Existing subscribers will receive at least 30 days' notice before any price increases affect their subscription. Continued use after the notice period constitutes acceptance of new pricing.

5. Acceptable Use

You agree not to use our Services to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, offensive, or inappropriate content
  • Engage in fraudulent or deceptive practices
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of our Services
  • Use our Services for any illegal real estate practices

6. Virtual Assistant Services

Service Delivery

Our virtual assistants are independent contractors who work remotely to provide services during agreed-upon business hours. We make commercially reasonable efforts to match you with assistants who have relevant experience and skills. Service delivery times may vary based on workload, complexity, and resource availability.

No Guaranteed Results

PropertyVAs provides virtual assistant services on a "best efforts" basis. We do not guarantee specific results, outcomes, lead conversion rates, transaction closures, or business growth. Your success depends on multiple factors outside our control, including market conditions, your business practices, and client relationships.

Independent Contractor Relationship

Virtual assistants assigned to you are independent contractors, not employees of PropertyVAs or your business. You acknowledge that:

  • Virtual assistants are not authorized to represent you legally or enter binding contracts on your behalf
  • You remain solely responsible for all business decisions and client relationships
  • You must not attempt to hire or directly engage any virtual assistant assigned to you for a period of 24 months after service termination
  • PropertyVAs reserves the right to reassign or replace virtual assistants at any time

Client Responsibilities

As a client, you agree to:

  • Provide clear, lawful instructions and necessary resources for task completion
  • Respond to communications within reasonable timeframes
  • Treat virtual assistants with respect and professionalism
  • Ensure all assigned tasks comply with federal, state, and local laws including real estate regulations
  • Maintain appropriate licenses and regulatory compliance for your business operations
  • Review all work product before use and assume responsibility for accuracy and compliance
  • Not request virtual assistants to perform illegal, unethical, or unlicensed activities

Service Limitations

Virtual assistants cannot and will not:

  • Provide legal, financial, tax, or professional advice
  • Make binding business decisions on your behalf
  • Perform activities requiring a real estate license unless properly licensed in your jurisdiction
  • Guarantee any specific outcomes or results
  • Sign contracts or legal documents on your behalf
  • Access your financial accounts without explicit authorization

Service Quality and Replacement

While we strive for excellence, if you are dissatisfied with a virtual assistant's performance, notify us within 7 days. We will evaluate the situation and may provide a replacement assistant at our sole discretion. Repeated requests for replacement may result in service termination without refund.

7. Confidentiality and Data Security

Mutual Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of service delivery. This includes client lists, business strategies, and personal information.

Client Responsibility for Data Security

YOU ARE SOLELY RESPONSIBLE FOR:

  • Ensuring the security of all passwords, credentials, and access you provide to virtual assistants
  • Implementing appropriate security measures for your systems, accounts, and data
  • Any data breaches, unauthorized access, or security incidents involving your accounts
  • Compliance with data protection laws (GDPR, CCPA, etc.) for any personal data you collect or process
  • Backing up your data and maintaining disaster recovery procedures

No Liability for Client Data

PropertyVAs and SLA Deals LLC shall not be liable for any loss, corruption, theft, or unauthorized disclosure of your data, client information, or business records, regardless of cause. You acknowledge that virtual assistants may access sensitive information as part of their duties, and you assume all risks associated with such access.

8. Intellectual Property Rights

PropertyVAs Property

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, and software, are owned by PropertyVAs and protected by intellectual property laws.

Client Content

You retain ownership of any content you provide to us. By using our Services, you grant us a license to use, modify, and display your content as necessary to provide our Services.

Work Product

Unless otherwise agreed, all work product created by our virtual assistants for you becomes your property upon payment for services.

9. Disclaimers and Warranties

"AS IS" Service Provision

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, PROPERTYVAS AND SLA DEALS LLC DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR WORK PRODUCT
  • WARRANTIES REGARDING THE QUALITY, SKILLS, OR PERFORMANCE OF ANY VIRTUAL ASSISTANT
  • ANY RESPONSIBILITY FOR YOUR BUSINESS DECISIONS, OUTCOMES, REVENUES, OR PROFITS

No Professional Advice

PropertyVAs does not provide legal, financial, tax, real estate brokerage, or other professional advice. You are solely responsible for ensuring compliance with all applicable laws and regulations governing your business. You should consult with appropriately licensed professionals for any legal or professional matters.

Third-Party Tools and Services

Our virtual assistants may use third-party tools, software, or services in delivering work. We make no warranties regarding these third-party services and are not responsible for their availability, accuracy, or functionality.

10. Limitation of Liability

Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROPERTYVAS, SLA DEALS LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
  • COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM ERRORS, MISTAKES, OR DELAYS IN SERVICE DELIVERY
  • DAMAGES ARISING FROM VIRTUAL ASSISTANT CONDUCT OR PERFORMANCE
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA OR SYSTEMS

Total Liability Limit

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLA DEALS LLC'S (DOING BUSINESS AS PROPERTYVAS) TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO PROPERTYVAS IN THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Liability Exclusions Apply Regardless of Legal Theory

These limitations apply regardless of whether liability arises from breach of contract, tort (including negligence), strict liability, or any other legal theory, and even if PropertyVAs has been advised of the possibility of such damages. Some jurisdictions do not allow certain liability limitations, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless SLA Deals LLC (doing business as PropertyVAs), its affiliates, subsidiaries, and their respective officers, directors, employees, contractors, agents, and representatives from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property, privacy, or contractual rights
  • Any content or data you provide to us or our virtual assistants
  • Any business decisions, actions, or strategies you implement based on work performed by our virtual assistants
  • Any claims brought by your clients, customers, or other third parties related to services provided by our virtual assistants
  • Your failure to comply with applicable laws and regulations

This indemnification obligation will survive termination of these Terms and your use of our Services.

12. Force Majeure and Service Interruptions

SLA Deals LLC shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, pandemics, or public health emergencies
  • War, terrorism, civil unrest, or government actions
  • Internet service provider failures, power outages, or telecommunications failures
  • Strikes, labor disputes, or workforce shortages
  • Virtual assistant unavailability, illness, resignation, or termination
  • Third-party software or service failures (including CRMs, email providers, etc.)
  • Cyberattacks, hacking attempts, or data breaches affecting our systems or third-party systems

In such events, our performance obligations shall be suspended for the duration of the force majeure event, and we shall not be liable for any resulting delays, losses, or damages.

13. Dispute Resolution

Arbitration

Any disputes, claims, or controversies arising from or relating to these Terms or our Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in the State of Georgia, and judgment on the award may be entered in any court having jurisdiction.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia and the United States, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts located in Georgia for any disputes not subject to arbitration.

Class Action Waiver

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our website and updating the effective date. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.

15. General Provisions

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and SLA Deals LLC (doing business as PropertyVAs) regarding the use of our Services and supersede all prior agreements, understandings, or representations.

Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
